Terms of Use

1. General

Quickly (the "Service") is a service for producing tax invoices (חשבונית מס), price quotes, receipts and business management via WhatsApp and an online dashboard. Use of the Service constitutes full agreement to these terms. If you do not agree to the terms - please stop using the Service.

2. Eligibility for Use

• Age restriction: Use of the Service is permitted only to users aged 18 and over. Minors may use the Service only with the consent of a parent or legal guardian and under their responsibility.
• The Service is intended only for owners of businesses registered in Israel (authorized dealer / עוסק מורשה, exempt dealer / עוסק פטור, or a limited company / חברה בע"מ)
• The user declares that they are a business owner or are authorized to act on its behalf
• The user is responsible for the accuracy of the details they enter (business details, customers, amounts)
• The Service must not be used for unlawful purposes or to produce fictitious documents
• The user is responsible for safeguarding their access credentials and for all activity in their account

3. Tax Invoices and Documents

The Service produces tax invoices (חשבונית מס) with allocation numbers from the Israeli Tax Authority (SHAAM) in accordance with Israeli law. In addition, the Service enables the production of price quotes, receipts, and credit invoices.

• The user is responsible for verifying that the documents comply with the requirements of the law and reflect genuine transactions
• Quickly is not a substitute for accounting or legal advice
• Allocation numbers are issued by the Tax Authority and their validity is subject to the Authority's approval
• An invoice that has been produced and sent cannot be edited - it can be cancelled and a new one produced

3a. Limits of the Service - Not a Substitute for an Accountant, Tax Advisor or Payroll Controller

Quickly is a software tool for producing documents, managing business data and presenting derived summaries. The Service is not an accountant, tax advisor, payroll controller or licensed bookkeeper as defined under Israeli law, and does not provide professional advice.

• Tax and financial reports (VAT, PCN874, BKMVDATA, 856, 2.6, annual income summary, balance sheet, profit and loss, trial balance, etc.) are informative summaries derived from the user's data. They are intended for review, editing and approval by a licensed accountant or tax advisor only.
• Filing with the tax authorities, professional accuracy, compliance of the reports with the law, and final tax decisions are the sole responsibility of the user (or the professional they engage).
• Quickly does not calculate final income tax liability, tax credit points (נקודות זיכוי), surtax (מס יסף) or tax adjustments. These calculations are determined by an accountant/tax advisor based on the taxpayer's complete personal data.
• Quickly does not calculate salaries, does not issue Form 102, and is not a payroll system. For payroll management, a licensed payroll system and an authorized payroll controller must be used.
• Manual journal entries are not supported in the Quickly portal. The ledger is presented as automatically derived from invoices, expenses and payments - for viewing and export only. Full bookkeeping is carried out in dedicated software (Hashavshevet, Rimon, etc.).
• Quickly shall not be liable for fines, interest, penalties or damages resulting from reliance on reports that have not been reviewed and approved by a qualified professional.

4. Plans and Payment

• Free trial: 14 trial days with full access, no credit card
• Basic plan: ₪26+VAT per month (or ₪312+VAT per year) - 20 invoices/receipts per month
• Business plan: ₪50+VAT per month (or ₪500+VAT per year) - 100 invoices/receipts per month
• Pro plan: ₪70+VAT per month (or ₪700+VAT per year) - unlimited invoices + SHAAM allocation numbers
• Payment is processed securely through a licensed Israeli payment processor. We do not store credit card details
• You may cancel your subscription at any time. The cancellation will take effect at the end of the current billing period
• No refunds will be given for billing periods that have already been paid

5. Product and Service Delivery Policy

Quickly is a digital SaaS-type service. Upon completion of payment and approval of the transaction, access to the service and to the purchased plan is provided digitally and immediately through the user account, the dashboard and the WhatsApp bot.

• There is no physical shipment of products, and therefore no shipping fees or delivery times.
• Digital documents created in the system, such as invoices, receipts and price quotes, are sent as PDFs according to the user's action.
• If there is a technical malfunction in delivering the service after payment, you can contact us at support@quicklyinv.co.il and we will handle the malfunction as soon as possible.

6. Product and Service Warranty

The Service is provided as a digital software product. Quickly's product warranty relates to reasonable availability of the service, handling of software malfunctions, and producing documents in accordance with the data the user has entered.

• There is no warranty for a physical product, since the service does not include the supply of a tangible product.
• Responsibility for the accuracy of the business details, customer details, transaction amounts and tax classifications rests with the user.
• In the event of a malfunction in the service, the primary remedy is repairing the malfunction, restoring access or a credit in accordance with the cancellation policy and applicable law.

7. Use of WhatsApp

The Service operates through the WhatsApp Business API. Use is also subject to WhatsApp/Meta's terms of use.

• Messages sent to the service are processed automatically by artificial intelligence
• We do not retain the content of messages beyond what is required for the operation of the service
• Receipt images sent for scanning are processed and deleted after recording

8. Service Availability

We aim for high availability but do not guarantee 100% availability. The Service may be temporarily unavailable due to:

• Planned maintenance or upgrades
• Malfunctions in WhatsApp, Supabase, or other external providers
• Force majeure events

9. Limitation of Liability

The Service is provided "AS IS". We are not responsible for:

• Damages caused as a result of errors in the data entered by the user
• Damages caused by technical malfunctions or service unavailability
• Compliance of the documents with the Tax Authority's requirements - the responsibility is on the user
• Improper or unauthorized use of the Service

In any case, Quickly's liability shall not exceed the subscription amount paid in the last 12 months.

10. Intellectual Property

All rights in the Service, including code, design, logo and content, are reserved to Quickly. The user receives a personal, non-exclusive, non-transferable license to use the Service.

11. Privacy and Cookies

Use of the Service is also subject to our Privacy Policy and Cookies Policy, which form an integral part of these Terms of Use.

12. Termination of Use

• The user may stop using the Service at any time and cancel the subscription
• Quickly reserves the right to suspend or close an account that violates the terms
• Upon termination of use, the data will be retained for 90 days and then deleted

13. Changes to the Terms

We reserve the right to update these terms. Material changes will be published on the website and/or sent by WhatsApp message. Continued use after an update constitutes agreement to the updated terms.

14. Governing Law and Jurisdiction

These terms are governed by Israeli law. Exclusive jurisdiction is granted to the courts of the Tel Aviv district.
